The Board of
Directors of SMCB wishes to announce that the Company is unable to
release its annual report for the financial year ended 30 September
("FYE") 2017 ("Annual Report 2017") to Bursa Malaysia Securities Berhad
("Bursa Securities") and the shareholders of the Company by 30 January
2018 (in view that 31 January 2018 falls on Thaipusam, a public
holiday) ("Relevant Timeframe") pursuant to Paragraph 9.23(1) of the
Main Market Listing Requirements of Bursa Securities ("MMLR").
The delay in the issuance of the Annual Report 2017 was primarily due to the slight holdup in the process of getting out the final Audited Financial Statements of the Company for the FYE 2017. SMCB will best endeavour to announce/issue its Annual Report 2017 to Bursa Securities and shareholders not later than 6 February 2017. Pursuant to Paragraph 9.28(5) of the MMLR, if the Company fails to issue the Annual Report 2017 within five (5) market days after the expiry of the Relevant Timeframe i.e. by 8 February 2017 (“Suspension Deadline”), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of the Company. The suspension shall be effected on the next market day after the Suspension Deadline and will be uplifted on the market day following the issuance of the Annual Report 2017 unless otherwise determined by Bursa Securities. The suspension of trading will be effected on 9 February 2018 if the Company fails to issue the Annual Report 2017 within five (5) market days after the expiry of the Relevant Timeframe.
